Overview

The Company has established a “Sustainability Development Promotion Task Force” as its dedicated unit for advancing sustainability initiatives. The Executive Office serves as the highest-level coordinating body, overseeing the planning and implementation of sustainability-related matters. In accordance with the principle of materiality, the Company identifies and assesses environmental, social, and corporate governance (ESG) risks associated with its operations. Relevant policies and guidelines, including the Corporate Governance Best Practice Principles and the Sustainable Development Best Practice Principles, have been formulated to strengthen the Company’s risk management framework. The operational status is outlined as follows:

Strengthening Corporate Governance

The Company has established internal regulations, including the Code of Ethical Conduct, Ethical Corporate Management Best Practice Principles, and Ethical Corporate Management Operating Procedures and Guidelines, to build a solid foundation for integrity-based governance. In addition, the Compensation Committee and the Audit Committee have been established and convene meetings on a regular basis to assist the Board of Directors in overseeing the Company’s operations and management. These mechanisms ensure the effective operation of the internal control system and the soundness of the overall management framework.

Promoting Environmental Sustainability

Supplier Management

The Company is committed to sustainable development and actively fosters long-term, stable partnerships with suppliers across the value chain. Business partners are required to comply with the Company’s supply chain corporate social responsibility standards, covering environmental protection, labor rights and human rights, ethics, health and safety, risk management, and the prohibition of conflict minerals. The Company also conducts supplier visits and meetings on an ad hoc basis to monitor delivery schedules and product quality, and maintains regular communication and feedback with suppliers to ensure that supply chain operations align with the Company’s sustainability objectives.

Environmental Sustainability Initiatives

As an IC design company, the Company does not operate its own manufacturing facilities. Wafer fabrication, packaging, and testing processes are outsourced to external foundries. Given the nature of the industry, the Company does not consume large quantities of raw materials or water resources. Energy consumption is primarily limited to electricity usage for office operations and data center equipment. Nevertheless, the Company recognizes the importance of environmental sustainability and continues to implement various environmental protection measures.

Internally, the Company regularly promotes energy- and water-saving awareness, encourages employees to reduce the use of disposable tableware and paper cups, and advances paperless operations through the adoption of electronic approval systems to reduce paper consumption and enhance resource efficiency. Office waste sorting and recycling policies are continuously implemented to improve recycling performance.

In terms of research and development, the Company continues to enhance its design capabilities to reduce the use of photomasks required for product revisions. The Company is also actively developing compact, high-efficiency, low-standby-power, and highly integrated energy-saving power management IC products, assisting customers in reducing energy consumption and carbon emissions, and jointly achieving energy conservation, carbon reduction, and sustainable development goals.

Upholding Social Responsibility

The Company complies with all applicable labor laws and regulations and is committed to providing a safe, equitable, and fair working environment while continuously enhancing employee welfare. Employee health promotion activities are organized annually, and benefits such as birthday gifts and periodic health check-ups are provided to support employees’ physical and mental well-being.

The Company places great importance on employee feedback and conducts regular two-way performance review meetings each year to strengthen communication and alignment between management and employees. Through these initiatives, the Company fosters a culture of mutual trust and open communication, creating a positive and supportive workplace environment.

 

In accordance with the principle of materiality, the Company identifies operationally relevant risks and has established the Sustainable Development Best Practice Principles. The Company actively promotes initiatives such as greenhouse gas inventory, sustainable supply chain management, information security management, and employee human rights policies to advance its sustainable management objectives.

The Sustainability Development Promotion Task Force reports to the Board of Directors on a quarterly basis regarding the progress of sustainability initiatives. In 2025, the Task Force convened a total of four meetings, with agenda items covering:

  • Stakeholder engagement and communication outcomes

  • Promotion and target setting of sustainability-related issues

  • Implementation status and performance of sustainability initiatives

  • Future ESG planning and roadmap alignment

The Board of Directors regularly reviews operational reports from the management team on a quarterly basis, including the execution of corporate strategies and progress on ESG initiatives. The management team proposes overall strategies and sustainability development plans to the Board in line with the Company’s development direction. The Board continuously monitors the progress of strategy execution and provides guidance for adjustments when necessary. The Board also periodically reviews the effectiveness of sustainability initiatives to ensure that relevant strategies are effectively integrated into daily operations and to continuously enhance the Company’s overall sustainability governance performance.
