
In accordance with the duties and scope of each departments, the Company has formulated and revised the Company's Code of Business Ethics, and has organizing propaganda, education and training related to business ethics to ensure the implementation of the Code. A summary of the results of the promotion is described below:
1、Insider Trading Prevention Training
- The company conducts at least one insider trading prevention course annually. In 2024, the educational session was held on October 31, with a total of 61 participants and a training duration of one hour.
- A recorded version of the session was made available for employees who could not attend.
2、Stock Trading Restrictions for Directors and Key Insiders
- As stipulated in the company’s Corporate Governance Best Practices, directors are prohibited from trading company stock during the blackout periods:
- 30 days before the annual financial report announcement
- 15 days before each quarterly financial report announcement
- Internal stakeholders were reminded of these restrictions via email in July and October 2024, as well as in January 2025, to ensure compliance.
3、Ethical Governance and Whistleblower Mechanism
- The Human Resources Department is responsible for overseeing ethical business practices, including updating procedural guidelines, implementation, interpretation, consultation, and maintaining relevant compliance records.
- On May 2, 2024, the company reported its whistleblower mechanism to the board and officially launched the whistleblower email whistleblower@m3tekic.com on the same day. This ensures that all employees are aware of the reporting channels and protection measures.
4、Additionally, in the 113th fiscal year, our company conducted internal training related to integrity management issues (including scenario-based training for supervisors, etc.), with a total of 11 participants and a total training duration of 1.5 hours.
